Mahanadi, Sagar Defence Get SEBI Nod For IPOs

Published on:

India’s capital markets regulator has cleared five initial public offerings in a week, including Coal India’s Mahanadi Coalfields arm and defence technology firm Sagar Defence Engineering. SEBI processing status shows observations on the draft papers of Mahanadi Coalfields, Sagar Defence, Encube Ethicals and Arjun Jewellers on 4 November, and on IFL Finance’s filing a day later. A clearance starts a one-year clock to file the prospectus and open the offer.

Encube Ethicals plans to raise Rs 3,000 crore entirely through an offer for sale, with promoter Mehul Madhusudan Shah selling up to Rs 2,000 crore and Quadria Capital the rest. Mahanadi Coalfields’ 66.18 crore shares are all a sale by Coal India. Arjun Jewellers, a Rajkot retailer, is the only pure fresh issue at Rs 200 crore. IFL Finance splits 3.85 crore shares into 3.55 crore fresh and 30 lakh from promoters, while Sagar Defence is a mix, reported at Rs 2,000 crore to Rs 3,000 crore.

A Primary Market Still Built On Exits

Timing explains the batch. Samvat 2082, the trading year that ended on 6 November, raised a record Rs 2.23 trillion across 375 mainboard and SME issues, with the 131 mainboard issues alone taking Rs 2.12 trillion, up 19.6 per cent, according to Prime Database data in Business Standard. Fresh capital rose 42 per cent to Rs 1 trillion, yet offers for sale still carried 52.8 per cent of the mainboard total.

IFL Finance is the one issuer whose money goes into the business. The Delhi-based, non-deposit-taking lender gives secured retail loans with a focus on gold and wants Rs 150 crore of net proceeds for Tier-I capital, the difference between growing a loan book and servicing one. It ran 88 branches across four states and a union territory in March 2026.

Mahanadi Coalfields And The Coal India Programme

Mahanadi is the biggest cheque. Coal India owns the subsidiary outright and will sell 66.18 crore shares, a tenth of its stake, in an offer that people familiar with the plans told Moneycontrol could raise up to $1 billion and value it at up to $10 billion. Investor meetings began this month, with a launch planned for late November or early December. Coal India’s board cleared sales of up to 25 per cent in Mahanadi and South Eastern Coalfields in March.

The two listed arms have diverged. Bharat Coking Coal’s January sale of 10 per cent was subscribed 147 times and now trades about 25 per cent below its debut, while CMPDI, listed on 30 March after a 15 per cent offer, is up 39 per cent. At Rs 88 a dollar, $1 billion for a tenth of Mahanadi implies equity value near Rs 88,000 crore, or about Rs 133 a share. South Eastern Coalfields, which filed for $800 million on 1 November, works out near Rs 105 a share, so Mahanadi is being talked about a quarter richer.

Sagar Defence And The Defence Tech Queue

Sagar Defence cannot be researched the usual way. The Mumbai company, founded by Captain Nikunj Parashar, builds unmanned surface vessels, maritime spotter drones and personal aerial vehicles, and in March broke ground on an autonomous maritime shipbuilding centre in Andhra Pradesh’s Nellore district. It filed through SEBI’s confidential pre-filing route in August, so its draft papers never became public. Reports put the issue at Rs 2,000 crore to Rs 3,000 crore, with DAM Capital Advisors as lead manager; confidential filers get 18 months to launch against 12 for a regular filing.

Encube Ethicals is the cleanest read on private equity exits. The Mumbai company makes topical pharmaceuticals across generics, contract development and manufacturing, and India-branded formulations, from plants in Goa and Indore. Revenue rose 34.7 per cent to Rs 1,848.7 crore and net profit 75 per cent to Rs 436.7 crore in its last financial year, and Frontier holds 15.02 per cent. If the fund sells all of it for the Rs 1,000 crore tranche, the offer implies an equity value near Rs 6,660 crore, about 15 times profit.

What To Watch

Three things decide if this is a signal or paperwork. Mahanadi’s launch will test demand for a second Coal India subsidiary in one financial year. Sagar Defence’s prospectus will be the first look at a confidential filer’s finances in defence technology. Listing day faces a high bar: 89 of the 131 mainboard issues in Samvat 2082 closed above their issue price on debut, with a median gain of 6.8 per cent.

The editorial read: this is a healthy pipeline, not a hot one. A market that clears five offers in a week while routing half its mainboard money to sellers works as an exit venue as much as a capital-raising one, and the issuers judged hardest ask for growth capital. IFL Finance’s Rs 150 crore for Tier-I and Sagar Defence’s manufacturing build-out are where the money does work. The rest is a transfer.
