Hindustan Coca-Cola Files DRHP For Rs 9,500 Crore IPO

Published on:

Hindustan Coca-Cola Holdings Ltd, the parent of Coca-Cola’s Indian bottling business, filed its draft red herring prospectus with SEBI on November 6 for an initial public offering of up to 99.75 crore shares. The shares are proposed to be listed on the BSE and the National Stock Exchange.

The issue is entirely an offer for sale by promoter Hindustan Coca-Cola Overseas Holdings Pte Ltd, which holds 60 per cent. Jubilant Beverages Ltd owns the other 40 per cent and became a promoter in July 2025, after the Jubilant Bhartia Group bought the stake from Coca-Cola for close to Rs 12,500 crore. No new shares are issued, so the company receives nothing: proceeds go to the selling shareholder.

An Offer That Raises Nothing For The Company

No price band is set in the draft, so the final size is not fixed. Reports before the filing put the offer at about $1 billion, or roughly Rs 9,500 crore. Worked back from the share count, that is about Rs 95 a share, and against the reported $10 billion valuation it implies a sale of close to 10.8 per cent of the equity.

That arithmetic matters more than the headline size. If the promoter sells about 10.8 per cent of a 60 per cent holding, the Coca-Cola parent is left with just under 49.2 per cent, below a simple majority for the first time. The draft does not state the post issue shareholding and the figure will move with the band. The direction does not: this is a sell down, not a fundraise.

The Numbers Inside The Draft Papers

Revenue from operations for the retained units was Rs 4,310.17 crore in the quarter ended June 30, 2026, up 20.46 per cent year on year, with volume up 18.61 per cent and EBITDA margin, before other income and exceptional items, at 17.20 per cent against 13.76 per cent. Business Standard put the quarterly revenue growth at 17 per cent, so we cite the filing figure and note the lower one. Full year revenue was Rs 11,663.24 crore against Rs 12,869.54 crore in FY25, a fall of about 9 per cent.

Profit reads worse than sales. Restated profit attributable to shareholders was Rs 408.45 crore in the June quarter against Rs 1,054.4 crore a year earlier. The company attributes the swing to a multi year refranchising process that has changed what it reports on, which is how a 9 per cent annual revenue decline and 18.61 per cent volume growth can both be true.

Scale, Share And The Plants Behind It

The draft cites a report by The Knowledge Company: largest non-alcoholic ready to drink business by revenue operating only in India in FY26, and the largest Coca-Cola bottler in the country by concentrate sold, with 38.53 per cent of Coca-Cola India concentrate sales. Value share is 37.2 per cent across soft drinks and packaged water, 60.1 per cent in carbonated drinks, 42.6 per cent in stills, 12.9 per cent in energy drinks and 9.7 per cent in packaged water. The 41 products sit under brands owned or licensed by Coca-Cola, from Thums Up and Sprite to Maaza, Minute Maid and Kinley. It reached 1.7 million outlets through 2,273 distributors from 14 plants and eight co-pack units.

Analysis: What The Price Band Will Reveal

Declared as analysis: a pure offer for sale tells you what the parent thinks the asset is worth, not what the company will do next year. Coca-Cola is moving to an asset light model worldwide, and in 2024 it handed bottling in Rajasthan, Bihar, the Northeast and West Bengal to Kandhari Global Beverages, SLMG Beverages and Moon Beverages for $290 million, about Rs 2,420 crore. The listed comparison is Varun Beverages, PepsiCo’s bottler. The test is whether this business prices below or above that multiple, because a bottler earns thin margins on high volume, not brand owner economics.

Jubilant’s entry is the other clue. Its Rs 12,500 crore for 40 per cent valued the company near Rs 31,250 crore, so a $10 billion listing near Rs 88,000 crore would be almost 2.8 times that mark in a year.

What To Watch

Three things follow. The band and dates will confirm whether the offer is the roughly $1 billion reports have suggested. The post issue holding will show how far Coca-Cola is prepared to go, given that its June 2026 statement spoke of a 2027 listing and not an exit. And the September quarter will be the first clean like for like comparison after the refranchising. Kotak Mahindra Capital, Citigroup, JP Morgan, Morgan Stanley, Axis Capital, Goldman Sachs and IIFL Capital are lead managers, with KFin Technologies as registrar.
